Sales & Commercial Use License Agreement – MadiStudios

1. Permitted Uses

Subscribers (hereinafter, the "Member") may download MadiStudios digital design files and manufacture physical objects exclusively by means of 3D printing.
This Agreement applies not only to digital design files created and distributed directly by MadiStudios, but also to any models generated through MadiStudios applications, tools, or platforms, including but not limited to MadiMaker (collectively, the "Designs").
While maintaining an active subscription, Members may manufacture and sell physical 3D-printed products based on MadiStudios Designs, solely as finished products and always in accordance with the limitations set forth in this Agreement.
Sales are limited to direct-to-consumer commercial activity and do not include wholesale distribution, industrial production, or mass manufacturing.
The Member is authorized to use official images, renders, and visual materials provided by MadiStudios exclusively for the promotion and sale of the printed models, without implying any transfer or assignment of rights over the brand or the designs themselves. Furthermore, it is expressly prohibited to remove, conceal, or alter any logos, signatures, watermarks, copyright notices, or identifying elements included in either the images or the models, unless such elements are provided without them or their removal has been expressly authorized in writing by MadiStudios.

2. Restrictions

The digital design files may not be shared, distributed, sublicensed, resold, or made available to third parties, in whole or in part, under any circumstances.
The digital files may not be modified, except in the following cases:
Minor functional modifications are permitted solely to facilitate printing or personal use of the model (for example, adding holes for keychains or magnets).
Any additional or substantial modification requires prior written authorization from MadiStudios, which may be revoked at any time, with or without cause, at MadiStudios sole discretion.
Any authorized modification does not create intellectual property rights or derivative works; all rights shall remain exclusively with MadiStudios.
This license is strictly limited to 3D printing carried out directly by the Member and does not authorize:
The manufacture of products other than the printed model, including, without limitation, clothing, merchandising, promotional products, or derivative objects.
The use of alternative or industrial manufacturing methods, such as injection molding, casting, CNC machining, resin casting, or other mass-production processes, nor the outsourcing of such processes to third parties, unless expressly authorized in writing by MadiStudios.
Any form of wholesale distribution, bulk sale, industrial-scale production, or mass manufacturing of products based on the designs is expressly prohibited.
The Member may not use the designs, in whole or in part, as a basis to create, develop, or distribute competing digital files, design collections, or similar products intended for commercial exploitation.

3. Ownership of the Designs

All designs, files, and associated intellectual property rights, including copyrights and any other exclusive rights, are the exclusive property of MadiStudios.
This Agreement does not transfer ownership of any design or file. It grants the Member only a limited, non-exclusive, non-transferable, and revocable license, valid solely while the subscription remains active, to manufacture and sell physical 3D-printed models in accordance with the terms set forth herein.
This license applies equally to all Designs, including those generated through MadiStudios tools or platforms such as MadiMaker.
This license is granted exclusively to the individual Member and may not be assigned, sublicensed, or extended to companies, employees, collaborators, brands, or third parties.

4. Term and Termination

This Agreement shall remain in force only while the Member maintains an active subscription to MadiStudios.
MadiStudios reserves the right to suspend or terminate this Agreement with reasonable notice, except in cases of breach of this Agreement, in which case termination may be immediate, at MadiStudios sole discretion.
Upon cancellation, expiration, or termination of the subscription, the Member must immediately and permanently cease:
The manufacture of new products based on MadiStudios designs.
The sale, distribution, or commercialization of any printed products based on such designs, including any previously manufactured stock, without exception.
Upon termination, no sell-off or clearance period is permitted, and any subsequent use of the designs shall constitute a breach of this Agreement.

5. Liability Regarding Printed Objects

The designs are provided exclusively as digital files for 3D printing and are not sold or intended to be toys or children's products, regardless of their form, theme, or appearance.
The Member assumes full responsibility arising from the download, printing, assembly, finishing, modification, and use of the designs and the printed objects.
MadiStudios provides no warranty, express or implied, regarding the strength, durability, safety, fitness, or suitability of the designs or printed objects for any particular purpose.
To the fullest extent permitted by applicable law, MadiStudios shall not be liable for:
Defective prints, structural failures, or errors resulting from the 3D printing process.
Damage, defects, or risks caused by the use of unsuitable, uncertified, toxic, fragile, or inappropriate materials.
Assembly errors, defective joints, improperly fitted parts, or modifications made after printing.
Personal injury, property damage, or economic loss arising from the use, misuse, or handling of the printed objects.
The Member acts as an independent manufacturer and seller of the printed objects and is solely responsible toward third parties or end customers.
The designs may include small parts, sharp edges, or fragile elements that may pose choking hazards, cuts, or other injuries.
Access to and use of the printed objects by minors must occur only under direct adult supervision, and the Member is fully responsible for warning customers and preventing improper or unsafe use.
MadiStudios assumes no responsibility whatsoever for damages, accidents, incidents, or claims arising from the use of the models by minors, unqualified persons, or third parties.

6. Amendments to the Agreement

MadiStudios reserves the right to modify or update the terms of this Agreement at any time.
Members will be notified in advance of any material modifications.
Continued use of the designs after such notification shall constitute express acceptance of the new terms. If the Member does not accept them, the Member must immediately cease using the designs and cancel the subscription.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with Spanish law.
Any dispute arising from this Agreement shall be submitted to the exclusive jurisdiction of the courts and tribunals of Spain, with express waiver of any other jurisdiction that may apply.
